General conditions of sale

Clause 1: Purpose and scope

The present general terms and conditions of sale (GTC) constitute the basis of the commercial negotiation and are systematically sent or given to each buyer to enable him to place an order.

The general conditions of sale described below detail the rights and obligations of the company Bee's dream and its customer in the context of the sale of the following goods: Bee's Kiss system, Bee's Kiss single dose, Bee's morning system and accessories.

Any acceptance of the quotation/order form, including the clause "I acknowledge that I have read and accept the attached general terms and conditions of sale", implies the buyer's unreserved acceptance of these general terms and conditions of sale.

Clause 2: Price

The prices of the goods sold are those in force on the day the order is placed. They are denominated in euros and calculated exclusive of tax. Consequently, they will be increased by the VAT rate and transport costs applicable on the day the order is placed.

Bee's dream reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the order is registered.

Clause 3: Discounts and rebates

The prices quoted include any discounts and rebates that Bee's dream may grant in view of its results or the assumption of responsibility by the buyer for certain services.

Clause 4: Discounting

No discount will be granted for early payment.

Clause 5: Terms of payment

Payment for orders is made :

  • or by cheque ;

  • or by credit card;

  • or by bank transfer.

Payments will be made under the following conditions:

  • Payment within 30 days of receipt of good

Clause 6: Late payment

In case of total or partial non‐payment of the goods delivered on the due date, the buyer must pay Bee's dream a late payment penalty equal to three times the legal interest rate.

The legal interest rate is that in force on the day of delivery of the goods.

As of 1 January 2015, the legal interest rate will be revised every 6 months (Order n°2014‐947 of 20 August 2014).

This penalty is calculated on the amount of the outstanding amount including VAT and runs from the due date of the price without any prior notice of default being required.

In addition to the late payment penalties, any sum, including the deposit, not paid on the due date shall automatically give rise to the payment of a fixed penalty of 80 euros due by way of collection costs.

Clause 7: Resolutive clause

If within fifteen days of the implementation of the "Late Payment" clause, the buyer has not paid the outstanding sums, the sale shall be cancelled by operation of law and may give rise to the right to claim damages from Bee's dream.

Clause 8: Retention of title clause

Bee's dream retains ownership of the goods sold until full payment of the price, in principal and in accessories. In this respect, if the buyer is subject to a receivership or liquidation, Bee's dream reserves the right to claim, within the framework of the collective procedure, the goods sold and remaining unpaid.

 

Clause 9: Delivery

The delivery is made :

  • or by handing over the goods directly to the buyer;

  • or by sending a notice of availability in the shop to the attention of the buyer;

  • or by depositing the goods at the place indicated by the buyer on the order form.

 

The delivery time indicated when the order is placed is given as an indication only and is not guaranteed. Consequently, any reasonable delay in the delivery of the products shall not give rise to any claim for the benefit of the buyer:

  • the award of damages;

  • cancellation of the order.

 

The transport risk is borne entirely by the buyer.

In the event of missing or damaged goods during transport, the buyer must formulate all necessary reservations on the order form upon receipt of the said goods. These reservations must also be confirmed in writing within five days of delivery, by registered letter with acknowledgement of receipt addressed to the company.

Clause 10: Force majeure

The responsibility of Bee's dream cannot be implemented if the non‐execution or delay in the execution of one of its obligations described in these general terms and conditions of sale results from a case of force majeure. In this respect, force majeure means any external, unforeseeable and irresistible event within the meaning of Article 1148 of the Civil Code.

Clause 11: Limitation of liability

Due to the nature and manufacturing process of certain goods, in particular Bee's Kiss single‐dose and Bee's Kiss single‐dose for Bee's morning system, Bee's dream cannot be held responsible if the non‐performance or the delay in the performance of one of its obligations described in these general terms of sale results from the following cases:

  • natural disaster ;

  • predation, decimation of bee colonies ;

  • abnormal mortality ;

  • disease ;

  • pollution ;

and any other events that may delay or compromise honey production partially or totally.

Bee's dream reminds us that the said goods are manufactured using a totally natural and non‐substitutable process.

Bee's dream specifies that in such cases it will endeavour to find solutions and propose alternatives to the buyer.

 

In case of delay :

Bee's dream reserves the right to delay delivery without refund or compensation. In case of cancellation of an order :

Bee's dream will offer the following solutions:

  • replacement of the variety of honey chosen by the buyer by a honey of equivalent class according to availability and at the rate in force on the day the order is taken;

  • replacement of the variety of honey chosen by the buyer with a higher class of honey depending on availability and at a higher price after agreement with the buyer.

 

Clause 12: Jurisdiction

Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law.

In the absence of an amicable resolution, the dispute will be brought before the Commercial Court of Angers.
